Introduction

These Terms and Conditions (“the Terms”) constitute a legally binding agreement between Sable Energy (Pty) Ltd, registration number 2022/244560/07, VAT number 4770309872 (hereinafter referred to as “Sable Energy”, “we”, “us”, or “our”), and any person who accesses our Website, purchases our Goods, or uses our services (hereinafter referred to as “you”, “your”, or “the user”).

1. Definitions and Interpretation

In these Terms, unless the context indicates otherwise: “Website” shall mean any website operated by Sable Energy; “Goods” shall mean any products or services offered by Sable Energy; “Third Party Installers/Distributors” shall mean independent contractors or service providers; “CPA” shall mean the Consumer Protection Act 68 of 2008; “ECT Act” shall mean the Electronic Communications and Transactions Act 25 of 2002.

2. Product Information and Pricing

2.1 The User acknowledges that all product images displayed are for illustrative purposes only, and actual products may vary from such images. Sable Energy reserves the right, in its sole discretion, to modify or discontinue any products without prior notice.

2.2 All specifications, dimensions, and descriptions provided are approximate and subject to change without notice. The availability of all products shall be subject to stock on hand.

2.3 All prices are quoted in South African Rand and are inclusive of Value Added Tax at the prescribed rate. Sable Energy reserves the right to amend prices without prior notice, and any special offers may be withdrawn at Sable Energy’s sole discretion. In the event of a pricing error, Sable Energy shall not be bound by such error.

3. System Capability & Customer Responsibility
All Sable Energy systems are modular, allowing customers to start with a smaller entry-level package and upgrade over time. Each system’s capabilities, limitations, and technical specifications are made available to customers prior to purchase via quotations, verbal communication, and the product information published on our website.

By accepting a quotation or placing an order, the customer confirms that:

1. They understand the difference between a backup system, a hybrid system(semi-off-grid) and a full off-grid system.
2. They have selected a system that fits their usage requirements and their budget.
3. Acknowledge that smaller-capacity or entry-level systems are not designed to provide full off-grid performance, and may not sustain their entire site (household or premises) indefinitely.
4. System performance is directly linked to the size of the inverter, battery bank, and solar array selected by the customer.

Because system selection is made by the customer based on their requirements and budget:

Sable Energy does not accept refund requests on correctly supplied products or systems on the basis that a customer later expected full off-grid performance from a smaller or lower-capacity system.

Modular upgrades are available at any time, allowing customers to increase storage or generation capacity as needed.

4. Ordering and Payment

4.1 All orders placed with Sable Energy shall be subject to acceptance by Sable Energy, which reserves the right to refuse any order without providing reasons therefor.

4.2 No order shall be deemed accepted until Sable Energy has received payment in full or the required deposit, as applicable. All deposits paid shall be non-refundable under any circumstances whatsoever.

4.3 The User shall make payment through such methods as determined by Sable Energy from time to time. All payments shall be made without any deduction or set-off, and any bank charges or processing fees shall be for the User’s account.

4.4 Full payment must be received before delivery.

5. Lay-By Programme

4.1 Sable Energy offers a Lay-By Programme subject to the following terms: 5.1.1 The User shall pay a minimum deposit of either 10% or 20% of the total purchase price, as determined by Sable Energy; 5.1.2 The balance shall be paid in monthly instalments over a period of either 3, 6, or 12 months, as agreed upon at the time of purchase; 5.1.3 All monthly payments shall be made via Electronic Funds Transfer (EFT) on the agreed-upon dates; 5.1.4 No interest shall be charged during the payment period.

5.2 In the event of cancellation of a Lay-By purchase, no refund shall be provided. Instead, the User shall receive a store credit valid for 12 months from the date of issue. Such store credit shall be non-transferable and non-refundable.

5.3 Goods remain the property of Sable Energy until paid in full.

6. Delivery

6.1 Any delivery timeframes provided by Sable Energy are estimates only and shall not be binding. The risk in the Goods shall pass to the User upon delivery or collection, as applicable.

6.2 The User shall inspect the Goods immediately upon delivery or collection and shall notify Sable Energy in writing of any damage or defects within 24 hours thereof, failing which the User shall be deemed to have accepted the Goods in good order and condition.

7. Returns and Refunds

7.1 Any return of Goods must be authorised in writing by Sable Energy. The User shall ensure that returned Goods are unopened, in their original condition, and accompanied by all accessories and packaging.

7.2 Refunds shall be processed within 30 working days and shall only be made to the original payment method. A cancellation fee of 7% shall be applicable to all refunds not arising from product defects. Shipping costs shall not be refundable under any circumstances.

8. Warranty

8.1 Sable Energy provides the following warranty periods, commencing from the date of delivery: 8.1.1 Electronic Parts: 5 (five) years; 8.1.2 Batteries: 8 (eight) years; 8.1.3 Solar Panels: 12 (twelve) years (where applicable).

8.2 The warranty shall be void and unenforceable in the event of: 8.2.1 Wilful or accidental damage; 8.2.2 Damage caused by Acts of God; 8.2.3 Power surge damage; 8.2.4 Installation by unqualified persons; 8.2.5 Improper operation or use; 8.2.6 Unauthorised repairs or modifications; 8.2.7 Normal wear and tear; 8.2.8 Corrosion damage; 8.2.9 Opening of the unit by unauthorised persons.

8.3 All warranty claims must be submitted in writing to info@sable-energy.co.za. Sable Energy undertakes to respond to service calls within 36 (thirty-six) hours. The User shall be liable for repair costs where the fault is determined to be due to ‘out of scope of warranty’.

9. Privacy and Data Protection

9.1 The User hereby consents to the collection and processing of their personal information, including but not limited to: 9.1.1 Full name and surname; 9.1.2 Email address; 9.1.3 Physical address; 9.1.4 Contact number; 9.1.5 Date of birth.

9.2 The User acknowledges that Sable Energy shall use such information for: 9.2.1 Processing of orders; 9.2.2 Marketing communications; 9.2.3 Service improvements; 9.2.4 Compliance with applicable laws.

10. Third Party Installers/Distributors

10.1 The User acknowledges that Sable Energy acts solely as a facilitator in respect of third party installers and distributors. No agency relationship exists between Sable Energy and such third parties.

10.2 All agreements between the User and third party installers or distributors shall be direct agreements, and Sable Energy shall not be liable for any acts or omissions of such third parties. Any disputes must be resolved directly with the third party

11. System Performance and Maintenance

11.1 The User acknowledges that all performance estimates provided are approximations only and that actual performance may vary based on usage conditions and environmental factors.

11.2 The User shall be responsible for: 11.2.1 Regular maintenance as prescribed in the product manual; 11.2.2 Ensuring only authorised personnel service the equipment; 11.2.3 Maintaining proper maintenance records for warranty validity.

12. Insurance and Risk

12.1 The User shall be responsible for insuring the Goods after delivery and shall provide proof of insurance where required for installations.

12.2 A valid Certificate of Compliance (COC) shall be required for all installations.

13. Intellectual Property

13.1 All technical information, documentation, and intellectual property rights shall remain the property of Sable Energy.

13.2 The User shall not: 13.2.1 Reproduce any documentation without written permission; 13.2.2 Reverse engineer any products; 13.2.3 Share confidential information with third parties.

14. Future Modifications

14.1 Any future modifications to systems must be approved in writing by Sable Energy. Unauthorised modifications shall void all warranties.

14.2 Sable Energy provides no guarantee of: 14.2.1 Future compatibility with technological changes; 14.2.2 Upgrade compatibility; 14.2.3 Software updates beyond those expressly agreed upon.

15. Limitation of Liability

15.1 Sable Energy’s liability shall be limited to the purchase price of the Goods, except in cases of gross negligence or wilful misconduct.

15.2 Sable Energy shall not be liable for any indirect, consequential, or special damages arising from the use of the Goods or services.

16. Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

16.2 Any disputes shall be subject to: 16.2.1 Written notice to info@sable-energy.co.za; 16.2.2 A 30 (thirty) day resolution period; 16.2.3 Mandatory mediation before litigation; 16.2.4 The non-exclusive jurisdiction of the South African courts.

17. Amendments

17.1 Sable Energy reserves the right to amend these Terms at any time without prior notice. Such amendments shall be effective immediately upon publication.

17.2 The User’s continued use of the Website or services following any amendments shall constitute acceptance of such amendments.

17.3 Errors and Omissions excluded

Acceptance

The User hereby acknowledges and agrees that by accessing the Website, placing an order, making any payment, or using Sable Energy’s services, they have read, understood, and agree to be bound by these Terms in their entirety. The making of any payment, whether in full or in part, shall constitute express acceptance of these Terms.

IN WITNESS WHEREOF, these Terms and Conditions have been duly executed and shall be binding upon any User engaging with Sable Energy in any manner whatsoever.
